Overview
Digital Signature Certificate is required for the person who wants to be the Director of a corporation. DSC is a digital indicator that is announced by the Certifying Authority. The Ministry of corporate affairs has addressed it compulsory for filing statements, statements utilizing DSC only.
DSC can be achieved in two ways either through the conventional method or biometric system. In the conventional approach, the appellant has to courier all the important records duly approved forward with the designated fee to the Certifying Authority. The certifying officials will present DSC to the intended candidate upon the content of the presented certificates. In the Biometric method, the intended employment will privately contact the office of the Certifying Authority with all the important certificates duly approved along with the industry form and shall present the same to the corporation along with the designated fee.
Documents needed for DSC
- Proof of Identity– PAN Card/ Passport/ Driving license or any other Government ID showing the signature if the candidate is an Indian national.
- Address Proof– Copy of Aadhar Card/Voter ID Card/Driving license.
- Attested Copy– Self Attested copy of the ID Card is enough if the candidate is an Indian national.
- Passport Size photograph
Consent of name
The following step towards the establishment of the corporation is the endorsement of the title by the Ministry of Corporate Affairs. Earlier support of names was being listed on the R.U.N (Reserve Unique Name) form on the MCA website. Presently the RUN form is practiced to edit the name of a current corporation only. Part A of the SPICe+ form can be utilized for Reservation of name for a new corporation individually and it can be employed together also.
The candidate who aspires to include a foreign firm is expected to specify the following data in the SPICe+ form-
- Type of company
- Class of company
- Category of company
- Industrial activity of the Company
- Description of Industrial activity
- Proposed name
- Choose file
Establishment of Foreign Subsidiary
Part B of the SPICe+ form administers the establishment of the corporation. On deciding to continue after the conclusion of Part A then only establishment procedures will start. SPICe+ form includes various columns which are expected to be filled correctly for the establishment of the corporation.
- Registration of Company
The candidate has to fill in articles and connect important certificates of the corporation in an electronic form and implement the corresponding SPICE+ forms only. It involves several aspects such as the location of the certified office, the capital composition of the organization.
- Allocation of Director Identification Number (DIN)
DIN is an individual 8 digit identification number assigned to a person who wants to become a director of a corporation. Any person who proposes to become the Director of a new corporation is expected to implement and fill the SPICe+ form. Only the body that has DIN can act as a director of the corporation.
- Issuing of PAN Card
Permanent Account Number (PAN) is a unique ten-digit number that is announced by the Department of Income Tax. It is necessary to petition for a PAN Card at the time of the establishment of the Company.
- Issuance of TAN
Tax Deduction and Collection Account Number (TAN) is a unique ten-digit number that is assigned by the Department of Income Tax.
